1.1. These terms and conditions of sale for consumers (the “Conditions”) apply to the purchase by consumers of organic food products from our website at http://www.luntiangrepublika.com/ (the “Site”). These Conditions create a legally binding contract on you so we suggest that you read these Conditions carefully before you place an Order. You should copy these Conditions and store them for your future reference.
1.3. References to “we”, “our” or “us” in these Conditions shall mean Luntiang Republika Eco Farms, a company registered under the laws of the Philippines
1.4. References to “you” or “your” are references to any person who submits an Order for purchase of the Products on the Site.
1.5. We use capitalized defined terms in these Conditions and they have the following meanings:
“Acknowledgement” means a written confirmation in the form of an electronic message acknowledging receipt of your Order and setting out an estimated date for delivery.
“Contract” means a legally binding contract for the sale of Products made in accordance with clause 2 of these Conditions, comprising the Order, the Acknowledgment and these Conditions.
“Products” means organic baby food advertised for sale on the Site.
“Order” means an order placed by you via the Site specifying the type of Products and number of boxes you wish to purchase.
“Price” means the price of the Products detailed in the Acknowledgement.
“Working Day” means any day (other than a Saturday and Sunday) on which the Philippine clearing banks are open for business.
1.6. Luntiang Republika Eco Farms may revise these terms and conditions at any time by updating this page. Please check our website from time to time to review the valid terms and conditions as they are legally binding on you. Luntiang Republika Eco Farms can make changes to the material on the website, e-store or to the products that are described in it, at any time without notice.
2. About Luntiang Republika Eco Farms
2.1. Our website is owned by Luntiang Republika Eco Farms, a company registered under the laws of the Philippines
3. Placing your order
3.1. The Products displayed on the Site and information about the Products and the Price are an invitation to place an Order only and not an offer to buy. Any typographical, clerical or other error or omission on the Site or other document or information issued by us shall be subject to correction without any liability on our part.
3.2. You must be aged eighteen (18) or over if you wish to place an Order. We reserve the right to refuse to accept your Order if:
(a) you do not meet the eligibility criteria set out in these Conditions;
(b) the Products are out of stock;
(c) your Order exceeds the maximum amount which is permitted per Order unless we have approved this in writing in advance via email;
(d) we cannot obtain authorization for your payment; or
(e) if there has been a pricing or Product description issue.
3.3. You may only purchase our Products for non-commercial or domestic use only (ie. you must not be purchasing our Products in the course of your business). If you are a re-seller, then please contact Luntiang Republika Eco Farms directly at email@example.com
3.4. You may order Products by clicking on the ‘Shop’ tab on the Site and adding the type and quantity of Products you wish to purchase to your online “shopping cart”.
3.5. Once you have selected the Products you wish to order, you can view the total Price of your Order (including any shipping costs and taxes) by clicking the “View Cart” button. You will then be directed to the payment page, where you will be asked for your credit card details and billing address.
3.6. An Order is placed when you click the “Place Order” button at the foot of the payment page. You should review the Order and correct any incorrect details by deleting and re-inserting your details, as appropriate, before pressing the “Place Order” button. The placing of such Order will constitute an offer by you to purchase the Products subject to these Conditions and gives rise to an immediate obligation to pay for your Order. We will acknowledge receipt of your Order within five (5) Working Days of placement with an Acknowledgement.
4. Order Acceptance
4.1. The Order shall be accepted by us when you receive an Acknowledgement which, subject to the provisions of clause 2.2, shall create a Contract which is subject to these Conditions. The date of the Order shall be the date on which we issue the Acknowledgement.
4.2. Acceptance of your Order is not a guarantee by us of the availability of the Products and all acceptances are conditional on availability of the Products.
4.3. If the Products which you have ordered are not available, we shall inform you of this by email as soon as possible but in any event, within seven (7) Working Days from the date on which you placed your Order. We may fulfil your Order by supplying you with alternative Products of equivalent quality and price.
4.4. If the alternative Products supplied to you pursuant to clause 3.3 are not acceptable to you however, you must notify us by email at firstname.lastname@example.org within seven (7) Working Days of the date upon which the substitute Products are delivered. To be eligible for a refund in relation to the substitute Products, you must return by post the Products unopened and in their original packaging, with any original tags, labels and accessories, to the following address in the Philippines: Luntiang Republika Eco Farms, Taywanak Ilaya, Alfonso, Cavite, Philippines, within fourteen (14) Working Days of notifying us that you do not wish to accept the substitute Products.
4.5. Provided you have complied with clause 3.4 above, we will refund the Price of the returned Products. We will also reimburse you for your postage costs incurred in returning the Products. You should, therefore, also provide us with proof of purchase and postage costs. Refunds will be made to the card from which payment was originally made. Refunds issued for Products purchased under a promotional offer will be based on the terms of the promotional price.
4.6. If you receive an Acknowledgement for an Order which you did not place, or if the details in the Acknowledgement do not match the Order which you placed or intended to place, you must contact us by email at email@example.com to cancel the Order or correct the details.
5. Price and Payment
5.1.You must pay us the Price on placement of the Order. The Price displayed is exclusive of VAT and all other applicable taxes of any country, including but without limitation, import taxes and shipping and handling costs, which are payable in addition by you.
5.2. Payment is subject to authorization by the relevant credit or debit card issuer. If such authorization is refused, we will not be liable for any delay or non-delivery of the Products and the Order will be deemed to be cancelled.
5.3. Payments will be debited from your credit card when the Order is placed. Confirmation that your payment has been received by us will be included in the Acknowledgement and an invoice marked “paid” sent to you at your billing address.
5.4. We reserve the right to increase the prices stated on the Site without prior notice but we will not increase the Price applicable to your particular Order after we have accepted that Order.
6.1. We will deliver the Products to the shipping address stated in your Order. We reserve the right to deliver only to the main entrance of the shipping address provided for delivery. Deliveries within the and outside of the Philippines will be made by a courier.
6.2. It is your responsibility to ensure that the Products can be signed for on delivery by an adult. Delivery of the Products will not be attempted more than once. We will not be held responsible, nor will there be any refund available to you of the Price, should you fail to take delivery, or where the shipping address was incorrect.
6.3. We will endeavor to deliver the Products to you on the date estimated for delivery within the Acknowledgement, but you acknowledge that it may not always be possible to deliver the Products on this date and you agree that delivery of the Products may take longer. The date of delivery specified in the Acknowledgement is an estimate only. We shall endeavor to inform you at our earliest opportunity if we are aware that delivery may be late but in any event, will not be liable for any failure to meet any estimated delivery date or for any costs, charges or expenses incurred as a result of any delay. You will not be entitled to refuse to accept any Products or to cancel the Contract with us merely because of such failure.
6.4 International delivery (shipping) rates: Shipping information is described on our Delivery & Returns page. The full cost of your shipping will be calculated and added to your total prior to completing your check-out and order purchase.
6.5 Shipping policy: Your order will be shipped within 1-5 business days of receiving full, cleared payment in our account. Further information can be found on our Delivery & Returns page.
7. Cancellation and returns of products
7.1. You may cancel your Order at any time before delivery, and up to fourteen (14) Working Days after delivery, by emailing us at firstname.lastname@example.org. You must state your name, description of the goods and order number and order confirmation that Luntiang Republika Eco Farms originally sent you. This will also assist us in processing your cancellation as quickly as possible.
7.2. To be eligible for a refund in relation to your cancelled Order, you must return by post the Products unopened and in their original packaging, with any original tags, labels and accessories, to the following address in the Philippines: Luntiang Republika Eco Farms, Taywanak Ilaya, Alfonso, Cavite, Philippines, within fourteen (14) Working Days of the date on which you provided notification of cancellation of your Order under clause 6.1.
7.3. Provided you have complied with clauses 6.1 and 6.2 above, we will refund the Price of the returned Products. We will also reimburse you for your postage costs incurred in returning the Products. You should, therefore, also provide us with proof of purchase and postage costs. Refunds will be made to the card from which payment was originally made. Refunds issued for Products purchased under a promotional offer will be based on the terms of the promotional price.
8. Faulty or Damages Goods
8.1. If you find that any Products delivered to you are faulty or damaged, please try to notify us within two (2) Working Days from the date of delivery by emailing us at email@example.com. Please send a description and a photo of the extent of the damage to us via email. Please specify whether you would like a refund for, or a replacement of, the Products.
8.2. You may return faulty or damaged Products to us. You must send them by post to the following address in the Philippines: Luntiang Republika Eco Farms, Taywanak Ilaya, Alfonso, Cavite, Philippines (with proof of purchase). We ask that you do this no later than fourteen (14) Working Days after the date of delivery. When you return the Products, you should send the original packaging, tags, labels and any accessories.
8.3. Following receipt of Products which have been returned to us in accordance with clauses 7.1 and 7.2 above, we will issue you with a refund for, or a replacement of, the faulty or damaged Products. If you fail to specify whether you would prefer a refund or a replacement, in accordance with clause 7,1, we will provide you with a refund. We will make any refunds to the card from which payment was originally made. Refunds will be made to the card from which payment was originally made. Refunds issued for Products purchased under a promotional offer will be based on the terms of the promotional price.
8.4. Nothing in this clause 8 affects your statutory rights.
9.1. If you have a complaint concerning our processes, please contact us by email firstname.lastname@example.org or write to us at Luntiang Republika Eco Farms, Taywanak Ilaya, Alfonso, Cavite, Philippines. We will endeavor to respond to your complaint within five (5) Working Days, and would hope to resolve any issue within thirty (30) Working Days.
10. Limitation of Liability
10.1. The age recommendations for the Products are intended to be used as a guide only. The responsibility of determining whether the Products are suitable for your baby, child toddler or adult ultimately lies with you.
10.2. Except in respect of death or personal injury caused by our negligence, fraud or any other liability which we cannot exclude by law, our maximum aggregate liability to you in contract, tort (including but without limitation, negligence or breach of statutory duty) or for any misrepresentation (unless fraudulent), or any implied warranty, condition or other term, or any duty at common law, in connection with any Order or under the terms of the Contract will not exceed the total Price charged for the relevant Products under that Order.
10.3. Except in respect of death or personal injury caused by our negligence, fraud or any other liability which we cannot exclude by law, we shall not be liable to you for:
(a) any indirect, special or consequential loss (which are losses which we could not have reasonably foreseen);
(b) direct or indirect loss of profit, loss of business, loss of goodwill which arise out of or in connection with the provision of the sale of the Products or their use by you.
10.4. We shall not be liable for any delay in performing or any failure to perform, any of our obligations if the delay or failure was due to any event outside our reasonable control including:
(a) act of God, explosion, flood, tempest, fire or accident;
(b) war or threat of war, terrorism, sabotage, insurrection, civil disturbance or requisition;
(c) acts, restrictions, regulations, bye-laws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority;
(d) import or export regulations or embargoes;
(e) strikes, lock-outs or other industrial actions or trade disputes (whether involving employees of the Seller or of a third party);
(f) bad weather;
(g) traffic congestion, roadworks or accidents;
(h) difficulties in obtaining raw materials, labour, fuel, parts of machinery;
(i) power failure or breakdown in machinery; or
(j) any malfunction, technical fault or interruption in internet connectivity.
10.5. If any of the circumstances detailed in clause 9.4 should arise, we shall have the right to cancel or suspend the Contract and/or delivery without incurring any liability of any nature to you. If such event detailed in clause 9.4 exceeds a period of one (1) month from you placing the Order, we shall notify you. You shall then be entitled to cancel your Order without any liability to us and we shall refund to you the Price.
11.1. Any notices sent by us to you will be sent to the email address provided to us at the time you placed your Order.
11.2. No variation of these Conditions or the Contract will be valid unless authorized in writing by one of our duly authorized representatives.
11.3. No waiver by us of any breach of the Contract or these Conditions by you shall be considered as a waiver of any subsequent breach of the same or any other provision.
11.4. If any provision of these Conditions or the Contract is found by any competent authority or a court of law to be invalid or unenforceable for any reason, the remainder of these Conditions and the Contract shall continue in full force and effect.
11.5. An entity which is not expressly a party to the Contract has no right to enforce any term of the Contract or these Conditions.
11.6. The Contract (and any non-contractual obligations) shall be governed by and construed in accordance with the laws of the Philippines. Any disputes will be decided by the Philippine courts only.
12. Intellectual property
12.1. All designs, text and images are the property of Luntiang Republika Eco Farms. You are allowed to use this website for your own personal, non-commercial use. Any other use of the content and materials of this website without a written consent is strictly prohibited and will violate our legal rights.
